1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

These Terms of Service (Terms) constitute a legally binding agreement between:

• You / Customer: The individual or legal entity accessing or using the Service
• Us / Provider: Accessify AI, an India-based software service (entity under incorporation)

By accessing or using Accessify AI (the Service), you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not access or use the Service.

1.2 Authority

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1.3 Order of Precedence

If there is a conflict between documents, the following order applies:

1. Order Form or Enterprise Agreement (if any)
2. Data Processing Agreement (DPA), if executed
3. Privacy Policy
4. These Terms

2. SERVICE DESCRIPTION

2.1 What Accessify AI Does

Accessify AI is a software-as-a-service (SaaS) platform that provides:

• Automated scanning of websites and repositories for accessibility issues
• Detection of potential accessibility violations aligned with WCAG standards
• AI-generated remediation recommendations
• GitHub-based continuous scanning (where enabled)
• Dashboards for tracking accessibility posture
• Historical reporting and analytics
• API access for eligible plans

2.2 What Accessify AI Does NOT Do

Accessify AI does not:

• Guarantee full accessibility or legal compliance
• Provide legal advice or legal certifications
• Automatically fix or deploy code changes
• Replace professional accessibility audits

All outputs are informational only. You remain responsible for compliance decisions.

2.3 Scope of Service

Features and limits depend on your subscription plan and may include:

• Web and repository scanning
• Violation reports mapped to WCAG criteria
• AI-assisted remediation guidance
• Team dashboards and access controls
• Email notifications
• Historical issue tracking
• API usage

3. SUBSCRIPTION, BILLING & PAYMENTS

3.1 Plans & Pricing

Accessify AI offers Free, Starter, Professional, and Enterprise plans. Pricing, features, and limits are displayed on our website or defined in an Order Form. We may modify plans or pricing with reasonable notice.

3.2 Payment Processing (PayPal)

All payments are processed exclusively via PayPal. By subscribing, you authorize Accessify AI to charge your PayPal account on a recurring basis according to your selected plan. We do not store payment credentials.

3.3 Billing Cycle

• Monthly plans are billed monthly in advance
• Annual plans (if offered) are billed annually in advance
• Subscriptions renew automatically unless canceled before renewal

3.4 Late Payments

If payment is not received when due, we may suspend or restrict access to the Service.

Interest on Overdue Amounts: Any overdue amounts shall accrue interest at 1.5% per week, calculated weekly from the due date until paid in full, or the maximum rate permitted by applicable law (whichever is lower).

You are responsible for reasonable costs incurred in collecting overdue amounts where permitted by law.

3.5 Refund Policy

No refunds will be issued for:

• Violations of these Terms or Acceptable Use rules
• Suspensions or terminations due to misuse or unlawful activity
• Unused scans, credits, or partial billing periods
• Voluntary cancellation by the Customer

Refund Timeline: Approved refunds will be processed within 5–10 business days via PayPal.

3.6 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, including VAT, GST, sales tax, or withholding taxes.

4. ACCEPTABLE USE & RESTRICTIONS

4.1 Prohibited Conduct

You may not:

• Scan websites or repositories you do not own or control
• Use the Service for unlawful purposes
• Reverse engineer, decompile, or copy the Service
• Bypass usage limits or safeguards
• Scrape, resell, or sublicense the Service
• Interfere with system security or performance
• Create fake or automated accounts

4.2 Authorization

You represent that you have full authority to scan all assets submitted to the Service.

5. USER RESPONSIBILITIES & ACCOUNT SECURITY

You are responsible for:

• Maintaining credential confidentiality
• All activity under your account
• Actions of team members
• Ensuring lawful and authorized use
• Reviewing scan outputs before implementation

You must promptly notify us of any unauthorized access.

6. SERVICE AVAILABILITY & SUPPORT (BEST EFFORTS)

6.1 Best-Efforts Availability

Accessify AI is provided on a commercially reasonable best-efforts basis.

We do not guarantee:

• Any specific uptime percentage
• Continuous or uninterrupted availability
• Error-free operation

Service availability may be affected by:

• Maintenance
• Infrastructure issues
• Third-party outages (GitHub, PayPal, hosting providers)
• Force majeure events

7. INTELLECTUAL PROPERTY RIGHTS

• We retain all rights to the Service, software, algorithms, documentation, and improvements.
• You retain ownership of your websites, repositories, and scan reports.
• You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

8. DISCLAIMERS & LIMITATION OF LIABILITY

8.1 No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LEGAL PENALTIES OR LOST PROFITS.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Accessify AI from claims arising from:

• Your use of the Service
• Assets you scan
• Violations of these Terms or applicable law

10. TERMINATION & SUSPENSION

• You may cancel anytime via your account.
• We may suspend or terminate access for violations, non-payment, security risks, or legal requirements.
• Upon termination, access ends and data may be deleted after a reasonable period.

11. PRIVACY & DATA PROTECTION

Your use of the Service is governed by our Privacy Policy and any applicable Data Processing Agreement.

12. THIRD-PARTY SERVICES

The Service integrates with third-party providers including GitHub, PayPal, and cloud infrastructure. We are not responsible for third-party outages or changes.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction. Parties agree to attempt informal resolution before legal action.

14. CHANGES TO TERMS

We may update these Terms with reasonable notice. Continued use constitutes acceptance.
